CONSTITUTION

1. Title

GOBUR OWNERS’ CLUB

2. Purpose

17th May 2007

To promote friendship and fellowship among the owners of Gobur Folding  Caravans through a common interest in caravan touring and rallying.

3. Membership

(a)

Members - Owners of Gobur Folding Caravans together with their spouse or named partner and children who are all over 18 years old.

(b)

Life Members - Members who have been selected at the A.G.M on the recommendation of the principal committee.

(c)

Honorary Members - who may be elected only at the A.G.M for a term of one year, but may be re-elected.

4. Year

(a)

To run from the first of January for twelve months. Subscriptions to be decided upon at the AGM. Membership will be terminated automatically if a member has not paid before the first of February of that year.

(b)

A prospective member joining the Club from the first of July shall be required to pay 50% of the annual subscription only for the remainder of the current year. A prospective member who joins the Club from the first of October will be allowed free membership for the remainder of that calendar year provided that payment is received for the following year at the time of applying for membership.

5. Committees

(a)

The Club shall be run by a Committee of officers comprised of the Chairman, Vice- Chairman, Secretary, Treasurer, plus three other elected Committee members.

(b)

(i)

The Chairman and Vice Chairman shall be elected annually, but shall not serve for a term longer than two years

 

(ii)

The Secretary and Treasurer shall be elected annually, and shall normally serve for a term of three years but shall not serve for a term longer than five years

(iii)

Committee members shall be elected for a term of three years, one third retiring annually

(c)

No officer or Committee member retiring under this rule shall be eligible for re-election to the same office until a period of 12 months has elapsed from the date of retirement, except that a Committee member who has been elected for one year only to fill a casual vacancy may stand for re-election for a full term. The Committee shall have the power to fill casual vacancies until the following A.G.M. Officers and Committee members shall be elected at the Annual General Meeting. They shall take office immediately after the meeting and remain in office until the conclusion of the next Annual General Meeting.

(d)

All offices and Committee membership shall be honorary.

(e)

Committee members will meet as necessary to conduct the business of the Club. Time and place of meetings are to be decided by the Chairman in consultation with officers who will be sent prior Notice of Meeting by the Secretary. A minimum of two meetings will be held annually, one prior to the AGM and the other during the autumn.

(f)

Nominations bearing the signatures of nominee, proposer and seconder must reach the Secretary before the first of March. In the event of there being insufficient numbers of persons nominated, the Chairman may call for nominees from those present at the Annual General Meeting and these persons must also be proposed and seconded.

(g)

Subject to a favourable consensus from members, the Club shall have the right to invite a respected person to accept the office of President to serve for a maximum of 5 years, who shall be kept informed of all club activities, and may participate in Committee meetings in a non-voting capacity.

(h)

(i)

The Disciplinary Committee shall consist of the Vice-Chairman and two other Committee members

 

(ii)

The Appeals Committee shall consist of the Chairman and those other members not on the Disciplinary Committee.

6. A.G.M.

The Secretary shall give notification to Members of the Annual General Meeting and circulate an agenda not less than twenty-eight days in advance, covering the following points :-

(a)

The election of Officers and Committee Members.

(b)

To present an annual report.

(c)

To present the accounts for the last completed year.

(d)

To fix the subscription for the ensuing year.

(e)

To appoint an auditor.

(f)

To discuss any other aspects affecting the Clubs' affairs.

7. Minutes and Accounts

The Chairman shall cause correct Minutes of all Committee and General Meetings to be kept by the Secretary and proper accounts to be kept by the Treasurer. The Treasurer will keep a deposit account and a current account.

8. Voting

A simple majority of Members will be deemed sufficient to decide all questions other than a change to this Constitution. A change to this Constitution shall be made only if three quarters of the members present or represented at a General Meeting are in favour. Nomination forms for the election of new Officers and/or Committee members shall be circulated with the notification and agenda of the Annual General Meeting. Postal voting slips shall be part of a tear-off section of the nominations forms. Proxy voting slips shall also be a part of an additional tear-off section of the nomination form. Voting shall normally be by a show of hands by those present unless any member demands a ballot, or such a ballot is decreed by the Chairman.

9. Notice

All proposals to amend this Constitution shall be submitted to the Club Secretary by the end of October, to allow these proposals to be forwarded to the Editor of Carousel News for publication in the December issue. A member wishing to move an amendment to such proposal shall notify the Secretary in writing giving details of such amendment before the first of March and that amendment shall, with the approval of the Committee, be accepted for discussion at the Annual General Meeting. All other propositions for consideration at an Annual General Meeting must carry the signatures of the proposer and seconder, and be received by the Secretary before the first of March.

10. Rallies

(a)

The GOC does not hold a Certificate of Exemption from the Department of the Environment as all its rallies are to be held on sites with facilities for caravans, i.e. electric hook-ups, toilets, showers, washing facilities and chemical disposal point. The rally programme shall be arranged by the various rally organisers and submitted to the Chairman or other designated member, for inclusion in the Carousel News. A rally should not be organised specifically to benefit a charity.

(b)

No rally booking or application form is to be sent or given to any member until after the Carousel News is circulated to all members with an advertisement for the associated rally included.

11. Management

(a)

The property, assets and income of the club shall be applied solely for the benefit of the Club and its members and the Club will not become a registered Charity

(b)

In the event that the total active Club membership should decrease to such an extent that the Club has been unable to discharge its obligations, as defined in Clause 2 of this Constitution, for a period of at least twelve months, then the Committee in office at that time shall consider the winding up of the Club, such winding up to be advised to all members

(c)

The disposal of all funds belonging to the Club is to be made by gifting them to a recognised Charity, the name of which is to be decided by the Committee in office at that time.

12. Conduct

(a)

All members are required to observe the Caravan Code and the Country Code in which they are caravanning and to assist Rally Officers in securing adherence to the criteria for rallies laid down by the Secretary of State for the Environment. Members are also required to carry suitable fire extinguishers in their caravans.

(b)

Member shall not use the Club name in any circumstances without the express permission of the Committee.

13. Disciplinary Procedure

Member of the Club whose conduct is inappropriate may be expelled or suspended from the Club by resolution passed at a meeting of the Disciplinary Committee, subject to the right of appeal.

The CAROUSEL NEWS is a twice-yearly publication and it will be sent to all members – where husband and wife/partner are both members, one copy will be dispatched to each couple.
